  4.              GERMANS BID, AND LAND A BARGAIN: ARTICLE SUMMARY

  6. [Dan Stets, the Philadelphia Inquirer journalist on hand for the auction,
  7. put out an article on the outcome this morning.  This is the
  8. point-by-point summary by Bill Zimmer. -Jason]
  9. "Germans bid, and land a bargain"
  10. Escom AG submitted a winning bid of $6.6 million for Commodore's
  11. assets.  A judge, however, still must approve it.

  13. Philadelphia Inquirer Staff Writer
  14. a.  Escom purchased Commodore's assets for $6.6 million yesterday
  15.     during the auction.
  16. b.  A half-dozen or so companies were at the auction but only Escom
  17.     and Dell Computer Company submitted bids backed by the required
  18.     $1 million security deposit.
  19. c.  Dell attached some unspecified conditions to there bid and consequently
  20.     it was disqualified.
  21. d.  Escom will resume manufacturing the Amiga and other Commodore
  22.     products and begin to make Apple-compatible and IBM-compatible
  23.     clones with the Commodore name on them.  The manufacturing will
  24.     be in a plant near Beijing, China.
  25. e.  Escom will attempt to produce a Commodore PowerPC.  This will be
  26.     manufactured in Europe.
  27. f.  Escom has no plans to resume any of Commodore's American manufacturing
  28.     operations.
  29. g.  Both the U.S. Bankruptcy Court in New York City and the Supreme
  30.     Court of the Bahamas must still approve the sale.
  31. h.  Both IBM and the trustee for Commodore's assets in the Netherlands,
  32.     UK, and the Philippines are objecting to the sale.
  33. i.  A hearing will be held today, Friday, April 21, in U.S. Bankruptcy
  34.     Court to consider the proposed sale to Escom and the objections of
  35.     the above (h) creditors.
  36. j.  Since Commodore's creditors are owed more than $100 million and
  37.     previous estimates of Commodore's auction value were put as high
  38.     as $20 million, the creditors may have reservations about the
  39.     low sale price generated by the auction.
  40. k.  A standing-room-only crowd of 65 attended the auction.  Two creditors,
  41.     Prudential Insurance and Microsoft were in attendance.  Representatives
  42.     from two Chinese electronics companies, New Star and Tietsin Trust &
  43.     Investment Company also were in attendance.
  44. l.  Escom plans a joint venture with Tietsin to manufacture Commodore's
  45.     products.
  46. m.  Also at the auction were representatives of Computer Connection of
  47.     Stockton, California.  They submitted a bid but did not include the
  48.     required $1 million deposit.  There bid was, therefore, disqualified.
  49. n.  CEI apparently teamed up with Dell in its unsuccessful bid.
  50. o.  The Commodore UK management buyout team withdrew before the bidding
  51.     began.
  52. p.  Dell's representative at the auction, Mr. Dalton Kaye, stated that
  53.     his company had not yet given up its attempt to purchase Commodore.
  54.     He further stated that he was not aware until two (2) weeks ago
  55.     about the auction and had insufficient time to evaluate either the
  56.     bid documents or Commodore's assets.
  57.     
  58.     In its latest fiscal year (which ended in January), Dell's sales
  59.     rose 21 percent to $3.5 billion and profits rose to $149 million.
  60. q.  The amount of Dell's bid and the amount of the bid made by Computer
  61.     connection were not made public.  The conditions which Dell attached to
  62.     their bid were also not made public.
